1. Acceptance of Terms

By accessing or using Pro Santa Solutions ("the Service"), operated by Pro Santa Solutions ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify registered users of material changes via email.

2. Description of Service

Pro Santa Solutions is a web-based business management platform designed for professional Santa Claus performers. The Service provides tools for:

Event booking and calendar management
Client/customer relationship management
Invoicing and payment processing
Contract generation and electronic signatures
Email and SMS communications
Public portfolio/website pages
Expense tracking and business reporting
Google Calendar synchronization

3. Account Registration

To use the Service, you must create an account. You agree to:

Provide accurate, current, and complete registration information
Maintain the security of your password and account
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. Accounts are for individual or single-business use unless otherwise agreed.

4. Subscription and Payment

Free Trial: New accounts receive a 30-day free trial with full access to the Service. No charge is made during the trial period.

Subscription: After the trial period, a paid subscription is required to continue using the Service. The current subscription fee is displayed on our pricing page and at registration.

Billing: Subscriptions are billed annually via Stripe. Your payment method will be automatically charged at the end of each billing period unless you cancel.

Cancellation: You may cancel your subscription at any time from the Settings page. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial periods.

Premium Themes: Premium website themes are available as a one-time purchase. Once purchased, premium themes remain available to your account indefinitely, regardless of subscription status.

5. Your Data and Content

Ownership: You retain full ownership of all data, content, and media you upload to the Service ("Your Content"). We claim no intellectual property rights over Your Content.

License: You grant us a limited license to use, store, and process Your Content solely for the purpose of providing the Service to you. This includes displaying your data back to you, sending emails on your behalf, and generating public pages you configure.

Responsibility: You are solely responsible for the accuracy and legality of Your Content. You agree not to upload content that is illegal, infringing, defamatory, or harmful.

Backup: While we take reasonable measures to protect your data, you are responsible for maintaining your own backups. We are not liable for data loss.

6. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or to promote illegal activities
Send spam, unsolicited communications, or bulk messages through the Service
Attempt to gain unauthorized access to other accounts or systems
Upload viruses, malware, or other harmful code
Reverse engineer, decompile, or disassemble any part of the Service
Use automated tools to scrape, crawl, or extract data from the Service
Impersonate another person or entity
Resell or redistribute the Service without our written consent

We reserve the right to suspend or terminate accounts that violate these terms.

7. Third-Party Integrations

The Service integrates with third-party services including Google Calendar, Stripe, SendGrid, and Twilio. Your use of these integrations is subject to the respective third-party terms of service:

Google Calendar: Governed by Google's Terms of Service. You may connect or disconnect at any time. Our use of Google data complies with the Google API Services User Data Policy.
Stripe: Payment processing is governed by Stripe's Terms of Service.
SendGrid / Twilio: Email and SMS delivery are subject to their respective acceptable use policies.

We are not responsible for the availability, accuracy, or conduct of any third-party service.

8. Public Santa Pages

The Service allows you to create a public-facing portfolio page. By enabling a public page, you acknowledge that the information you choose to display (name, photo, bio, contact information, gallery) will be publicly accessible on the internet. You are responsible for the content you make public.

Custom domains are available to premium theme owners. You are responsible for domain registration, DNS configuration, and compliance with your domain registrar's terms.

9. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Pro Santa Solutions and protected by copyright and other intellectual property laws. You may not copy, modify, or distribute any part of the Service except as expressly permitted by these Terms.

Website themes (free and premium) are licensed for your use within the Service only. They may not be extracted, resold, or used outside of Pro Santa Solutions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRO SANTA SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify and hold harmless Pro Santa Solutions, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or at our discretion with reasonable notice. Upon termination:

Your access to the Service will be revoked
Your data will be retained for 30 days to allow export, then deleted
Provisions that by their nature should survive termination will survive (including limitations of liability, indemnification, and intellectual property)

You may delete your account at any time by contacting support.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved in the courts of competent jurisdiction.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
